Michael Hanley - Partner

Michael is Head of the Banking and Financial Services team at Hayes solicitors. He advises on a broad range of domestic and cross border finance transactions. His primary focus is acting for lending institutions and borrowers on leveraged/acquisition, commercial property, construction/development and SME finance transactions.

Michael and his team are also very active in the areas of restructuring and portfolio/bi-lateral off-market loan sales and acquisitions.

Experience

  • Leveraged/acquisition finance - Acting for the main clearing and lending financial institutions and borrowers (supporting the commercial department) on cross border and domestic M & A transactions
  • Commercial property and development finance: Michael's team has extensive experience advising domestic and international lending institutions (including Bank of Ireland, AIB, NAMA, Ulster Bank, Rabobank/ACC, KBC, Permanent tsb) and borrowers, in domestic and multi jurisdictional CRE finance transactions with a recent special focus on construction/development finance
  • Loan sales/acquisitions - Michael  has managed and participated in multi-departmental teams on loan sale projects involving large portfolio sales and bi-lateral off market sales and acquisitions, acting for vendors and bidders/acquirers (including but not limited to Bank of Ireland, Ulster Bank, NAMA and key asset management/service providers in Hudson, Pepper and Certus)
  • SME finance - Michael and his team are actively involved in the area of SME finance, involving the established main clearing and lending banks, but also alternative SME funding sources and acting for SME borrowers on cross-border and domestic facilities.

  • Bachelor of Arts - National University of Ireland Maynooth
  • Diploma Legal Studies - Dublin Institute of Technology
  • Diploma Corporate Governance - Law Society of Ireland
  • Diploma Finance Law - Law Society of Ireland
  • Professional qualification as a solicitor, Law Society of Ireland, 2002.

  • Dublin Solicitors Bar Association.

Other

  • Michael is a lecturer and tutor on the Law Society of Ireland's Certificate in Banking Law
  • Michael co-authored the latest (5th) edition of the Law Society of Ireland Business Law Manual, published by the Oxford University Press. He was responsible for three chapters on commercial lending.
